By accessing or using the VoxGrade platform (the "Service"), operated by VoxGrade ("we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.
We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting. Your continued use of the Service after changes are posted constitutes acceptance of the modified Terms.
VoxGrade is a SaaS platform designed for testing, auditing, and optimizing AI voice agents. The Service provides:
Service availability and features may vary by subscription tier. We reserve the right to modify, suspend, or discontinue any feature at any time without prior notice.
Registration: You must provide accurate, complete, and current information during registration. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
Account Security: You must notify us immediately of any unauthorized access or security breach. We are not liable for any loss or damage arising from your failure to maintain account security.
Eligibility: You must be at least 18 years old and have the legal authority to enter into these Terms. By using the Service, you represent and warrant that you meet these requirements.
Account Termination: We reserve the right to suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or other conduct we deem harmful to the Service or other users.
New users may be eligible for a 14-day free trial of paid features. No credit card is required for the free trial. At the end of the trial period:
Free trial eligibility is limited to one trial per user or organization. We reserve the right to deny trial access to users who abuse trial terms or create multiple accounts to extend trial periods.
Subscription Plans: Paid subscriptions are billed on a monthly or annual basis, as selected during signup. Pricing is displayed on our website and may be changed at any time with 30 days' notice to existing subscribers.
Payment Processing: All payments are processed securely through Stripe. By providing payment information, you authorize us to charge the applicable fees to your payment method.
Auto-Renewal: Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You are responsible for canceling your subscription if you no longer wish to be charged.
Refund Policy: We do not offer refunds for partial subscription periods. If you cancel your subscription, you will retain access to paid features until the end of your current billing period. After cancellation, your account will be downgraded to the Free plan, and you will continue to have prorated access to the Service based on the time remaining in your subscription.
Failed Payments: If a payment fails, we will attempt to charge your payment method again. Continued payment failures may result in suspension or termination of your account.
You agree not to use the Service to:
Violation of acceptable use terms may result in immediate account suspension or termination without refund.
Our IP: The Service, including all software, text, graphics, logos, and other content, is owned by VoxGrade and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our intellectual property without written permission.
Your Content: You retain ownership of all data, prompts, transcripts, and other content you upload to the Service ("Your Content"). By using the Service, you grant us a limited, non-exclusive license to use Your Content solely to provide and improve the Service.
Feedback: If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, royalty-free license to use and incorporate such feedback without compensation or attribution.
Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
By using the Service, you acknowledge that we may process and store your data as described in the Privacy Policy. You are responsible for ensuring that Your Content complies with applicable data protection laws, including GDPR and other regional regulations.
The Service integrates with third-party platforms and services, including Retell AI, Vapi, OpenRouter, and others. Your use of these third-party services is subject to their respective terms and policies. We are not responsible for the availability, accuracy, or conduct of third-party services.
You acknowledge that third-party service disruptions may affect the functionality of the Service, and we are not liable for any damages resulting from such disruptions.
TO THE FULLEST EXTENT PERMITTED BY LAW, CALLSETTER AI AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.
Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability. In such cases, our liability will be limited to the maximum extent permitted by law.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED. YOU ASSUME ALL RISK ASSOCIATED WITH YOUR USE OF THE SERVICE.
You agree to indemnify, defend, and hold harmless VoxGrade and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorney's fees, arising out of or related to:
Termination by You: You may cancel your subscription at any time through your account settings. Upon cancellation, you will retain access to paid features until the end of your current billing period.
Termination by Us: We reserve the right to suspend or terminate your account immediately, with or without notice, for any reason, including but not limited to violation of these Terms, fraudulent activity, or conduct harmful to the Service or other users.
Effect of Termination: Upon termination, your right to access and use the Service will cease immediately. We may delete Your Content from our servers, though we are not obligated to do so. Provisions of these Terms that by their nature should survive termination will remain in effect.
Governing Law: These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.
Dispute Resolution: Any disputes arising out of or related to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You agree to waive any right to a jury trial or to participate in a class action.
Exceptions: Either party may seek injunctive or equitable relief in court to prevent unauthorized use or abuse of the Service.
Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and VoxGrade regarding the Service.
Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.
Assignment: You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms at any time without notice.
Force Majeure: We are not liable for any failure to perform our obligations due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, or internet disruptions.
